Verb Data Subscription Agreement

Welcome to the Verb Data website and services (the “Services”). Only registered users with a Verb Data Subscription in good standing may access or use the Services. Your purchase of a Verb Data Subscription is subject to our Standard Subscription Terms, as well as the Verb Data Terms of Use and Privacy Policy.

I. Subscription Plans

Verb Data offers different Subscription Plans based on the amount of data you store and process through the Services. We reserve the right to modify, terminate or otherwise amend our offered options, subscription prices and plans at any time in our discretion. Verb Data currently offers the following options:

° “Managed Data” means the amount of data in storage at the beginning of a cycle plus the amount of data ingested during that billing cycle.

II. Subscription Term

The subscription period starts on the date that you sign up and remit payment in full. At that time, you will receive information regarding your monthly billing date. Unless you cancel, upgrade or downgrade as provided below, your subscription automatically renews for additional monthly terms at the same level. We will automatically bill the subscription fee to your payment method on file unless you provide notice that you wish to cancel or change your subscription prior to expiration of your current term. If you fail to renew your subscription and your subscription Term expires or you fail to remit any outstanding payments, you will lose access to the Services and any content stored thereon.

III. Overages, Upgrades, Downgrades, Cancellations

A. Overages: If users of the Free Plan or the Startup Plan exceed Managed Data Limits, Verb will stop syncing new data but continue to grant access to the existing data and the platform. Startup Plan users that have opted into an automatic upgrade to the Scale Plan will be automatically upgraded in the event of an overage. If a Startup Plan user has been automatically upgraded to the Scale Plan, they will thereafter be billed as a Scale Plan user unless the user manually elects to downgrade their subscription.

B. Calculating Overages (Scale Plan): At the beginning of each billing cycle you will be billed for your current subscription fees and an overage fee based on the amount of managed data in your account on the last day of the previous cycle. If you cancel your account, you will be billed for any overages upon the conclusion of your final billing cycle.

C. Upgrades. You can upgrade or otherwise manage your Subscription in the organization details section in the Verb platform. If you upgrade your Plan in the middle of a billing cycle your account will automatically be charged a prorated amount of subscription fees for the upgraded Plan. You will be refunded the unused portion of the subscription fees from your previous Plan. The following billing cycle you will be charged the subscription fees for the upgraded plan unless you downgrade as provided below.

D. Downgrades and Cancellations. You can downgrade, cancel or otherwise manage your Subscription in the organization details section in the Verb platform. You must downgrade or cancel your subscription prior to the state of the next billing cycle to avoid being charged for another cycle of your current plan. If you downgrade or cancel your Subscription Plan or API add-on in the middle of a billing cycle, you will not receive a refund for the unused portion of your subscription fees. You will still be able to access the Services until the conclusion of your last billing cycle. If you have incur overage charges during your last billing cycle, your credit card will be charged for all overages at the end of the last billing cycle.

III. Payment Terms

Your credit card on file will be charged in full at the beginning of each monthly billing cycle for the subscription fees for the following month, as well as any overage charges. By registering to use the Services, you automatically authorize Verb Data to charge all fees, including Subscription Fees, upgrades, add-ons and overages, incurred through your account. Verb Data uses Stripe, a secure payment provider, to process your payments. Your payment information is subject to the privacy policy and terms of use of Stripe. We recommend you review these policies before uploading any credit card information.

Should automatic billing fail to occur for any reason, we will immediately inform you that your account is no longer in good standing. If you do not update your billing method and remit payment in full within seven (7) days from receipt of the notice, your account will be suspended and your account will not ingest any additional data. If your account is suspended for seven (7) days or more for non-payment, your account will be cancelled and you will no longer have access to any data stored on your account.

Subscription Fees are subject to change at Verb Data’s sole discretion at any time. Verb Data will notify you and give you an opportunity to cancel your subscription before charging your credit card with an increased Subscription Fee.

IV. Access Requirements

All users must be 18 years or older to use the Services. Your access to the Services is subject to the Verb Data Standard Subscription Terms, Terms of Service and Privacy Policy, which are hereby incorporated by reference.

We reserve the right to refuse or cancel your order or our product or service offerings at any time for reasons including but not limited to: product or service availability, errors in the description or price of the product or service, error in your order or any other reason.
